This Terms of Service is a contract entered into by and between You (“you” or “User”) and The 911 Recruiter (“The 911 Recruiter”, “we”, “our”, or “us”) and our affiliates, to the extent expressly stated. These terms and conditions (together with our “Privacy Policy” , the “Terms of Service” or “Terms”) govern your access to and use of https://the911recruiter.com/ (“Site” or “Website”), including any content, functionality, and services (collectively with the Site, “Services”) offered on or through the Site, whether as a guest or registered user.

Please read the Terms of Service carefully before you start to use the Website. By using our Website or Services, you accept and agree to be bound and abide by these Terms. If you do not want to agree to these Terms of Service you must not access or use the Website or Services.

AGE RESTRICTIONS:

The Website and Services are intended for users 18 and older. By accessing or using the Website, You represent and warrant that you are at least eighteen (18) years old and that you possess the legal right and ability to enter into this Terms of Service and to use the Website and Services in accordance with these Terms.

CHANGES TO TERMS OF SERVICE:

We may revise and update these Terms of Service from time to time in our sole discretion by posting a revised version on the Site. All changes are effective immediately when we post them. The 911 Recruiter may provide reasonable notice of any material changes, determined at our sole discretion, by posting the updated Terms of Service on the. Any revisions to the Terms of Service will take effect on the noted Effective Date, located at the top of these Terms.

You understand that your continued use of the website or services following the Effective Date, means that you accept and agree to be bound by the Terms of Service. If you do not accept the Terms of Service in its entirety, you must not access or use the Website or Services after the Effective Date.

ABOUT THE 911 RECRUITER:

The 911 Recruiter provides public safety professionals with a robust and efficient application system for jobs that are specific to Police, Fire, and Emergency Medical Services(EMS).  We take pride in our credibility and the uniqueness of catering to our first responders.

USER ACCOUNTS:

You must register an account in order to apply to or post a job opening. When you register an account on our Website, you will be asked to provide detailed profile information to complete your account. By registering for an account to use the Site or Site Services (an “Account”), you agree to abide by this Terms of Service. It is a condition of your use of the Website that all the information you provide on the Website is correct, current, and complete. You agree that all information you provide to register with this Website or otherwise, including, but not limited to, through the use of any interactive features on the Website, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

ACCOUNT TYPES:

You can register for an Account to use the Site and Site Services as a Candidate (“Candidate Account”) or Employer (“Employer Account”). If you create an Employer Account as an employee or agent on behalf of a company or organization, you represent and warrant that you are authorized to enter into binding contracts, including the Terms of Service, on behalf of yourself and your organization. You acknowledge and agree that you are solely responsible, and assume all liability, for the security and confidentiality of your Account.

ACCOUNT ELIGIBILITY:

Services accessible through a Candidate Account may be used only by such Candidate, solely for the personal, non-commercial purposes of seeking employment and/or for career purposes. Services accessible only through an Employer’s Account, may be used only by the Employer and solely for the internal business purposes of the Employer. Services generally accessible on the Site may be used by any individual, subject to these Terms and Conditions.

To register for an Account or use the Site and Site Services, you must, and hereby represent that you (a) are seeking employment if you are a Candidate, (b) have or are an employee or agent of and authorized to act for an independent business (whether it be as a self-employed individual/sole proprietor or as a corporation, limited liability company, or other entity) or are otherwise authorized to act for an Employer if you are an Employer; (b) will use the Site and Site Services only for the purposes described above; (c) will comply with any licensing, registration, or other requirements with respect to your candidacy, business, or the business for which you are acting, and the provision of The 911 Recruiter Services; and (d) a legal entity or an individual 18 years or older (or have otherwise reached the age of majority in the jurisdiction in which you conduct business) who can form legally binding contracts.

ACCOUNT PERMISSIONS:

You agree not to request or allow another person to create an Account on your behalf, for your use, or for your benefit, except that an authorized employee or agent may create an Account on behalf of your organization. By granting other Users permissions under your Account, you represent and warrant that (a) the User is authorized to act on your behalf, (b) you are financially responsible for the User’s actions taken in accordance with those permissions, including, if applicable, entering into binding contracts on behalf of the owner of the Account, and (c) you are fully responsible and liable for any action of any User to whom you have provided any permissions and any other person who uses the Account, including making payments and entering into the Terms of Service. If any such User violates the Terms of Service, it may affect your ability to use the Site. Upon closure of an Account, The 911 Recruiter may close any or all related Accounts.

USER CONTRIBUTIONS:

The Website may contain interactive functionalities, such as applications for job postings in which candidates may enter their information, upload resumes, post comments on blog posts, and otherwise interact (collectively, “Interactive Services“) that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, “post“) content or materials (collectively, “User Contributions“) on or through the Website.

All User Contributions must comply with the provisions in this Terms of Service. Any User Contribution you post to the site will not in any way be considered an endorsement or promotion on behalf of The 911 Recruiter. User Contributions will be considered non-confidential and non-proprietary. By providing any User Contribution on the Website, you irrevocably grant us and our licensees, successors, and assigns permission to use Your User Contributions for any purpose, including but not limited to advertisements and other works, creating derivative works, promoting and distributing it. You also irrevocably grant the Site’s users the right to access Your User Contributions in connection with their use of the Site. Finally, you irrevocably waive, and cause to be waived, any claims and assertions of moral rights or attribution with respect to Your User Contributions.

The 911 Recruiter does not generally investigate any remarks posted by Users or other User Contributions for accuracy or reliability and does not guarantee that User Contributions are accurate. You represent that you own, or have the necessary permissions to use, and authorize the use of, your User Contributions. You may not imply that your User Contributions are in any way sponsored or endorsed by Site. You are solely responsible for your User Contributions, including the accuracy of any User Contributions, and are solely responsible for any legal action that may be instituted by other Users or third parties as a result of or in connection with your User Contributions if such User Contributions are legally actionable or defamatory. The 911 Recruiter is not legally responsible for any feedback or comments posted or made available on the Site by any Users or third parties, even if that information is defamatory or otherwise legally actionable. In order to protect the integrity of the feedback system and protect Users from abuse, The 911 Recruiter reserves the right (but is under no obligation) to remove posted feedback or information that, in The 911 Recruiter’s sole judgment, violates the Terms of Service or negatively affects our Services, diminishes the integrity of the job posting system or otherwise is inconsistent with the business interests of 911 Recruiter. You acknowledge and agree that you will notify The 911 Recruiter of any error or inaccurate statement in your feedback, and that if you do not do so, The 911 Recruiter may rely on the accuracy of such information.

PROHIBITED USES:

You may use the Website only for lawful purposes and in accordance with these Terms of Service. You agree not to use the Website:

In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).

For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.

To upload, post, publish, transmit, reproduce, distribute or in any way exploit any information or other material obtained on or through the Site for commercial purposes (other than as expressly permitted by the provider of such information or other material), or otherwise advertise or perform any religious, political or commercial solicitation in connection with Your use of the Site;

To send, knowingly receive, upload, download, use, or re-use any material that does not comply with these Terms of Service.

To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.

To impersonate or attempt to impersonate The 911 Recruiter, any employee of The 911 Recruiter, another user, or any other person or entity (including, without limitation, by using email addresses or account names associated with any of the foregoing).

To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by us, may harm The 911 Recruiter or users of the Website, or expose them to liability.

In any way that generates automated, fraudulent or otherwise invalid impressions or clicks

Additionally, you agree not to:

Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Website, including their ability to engage in real time activities through the Website.

Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any of the material on the Website.

Use any manual process to monitor or copy any of the material on the Website, or for any other purpose not expressly authorized in these Terms of Service, without our prior written consent.

Use any device, software, or routine that interferes with the proper working of the Website, including any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website.

Attack the Website via a denial-of-service attack or a distributed denial-of-service attack.

Otherwise attempt to interfere with the proper working of the Website.

THE 911 RECRUITER – EMPLOYMENT RELATIONSHIP

The 911 Recruiter merely makes the Site and Services available to enable Candidates and Employers to find and transact directly with each other. Employers/Candidates are responsible for evaluating and determining the suitability of any Candidate/Employer on their own. If Candidates decide to enter into a relationship with an Employer, that relationship is directly between the Candidate, Employer and The 911 Recruiter is not a party to that relationship or employment contract and any conditional offer of employment will be made outside of The 911 Recruiter.

You acknowledge, agree, and understand that The 911 Recruiter is not a party to the relationship or any dealings between Employer and Candidate.

Without limitation, all Employers are solely responsible for (a) ensuring the accuracy and legality of any job posting, (b) determining the suitability of Candidates for employment (such as any interviews, vetting, background checks, or similar actions), (c) negotiating, agreeing to, and executing any terms or conditions of employment agreements, (d) performing under any employment agreement, (e) paying Candidates, (f) ensuring that they do not sell, promote, or advertise products or services or solicitations of business, (g) ensuring that they do not advertise for sexual services or seek employees for jobs of sexual nature, and (h) ensuring their posts or job opportunities represent bona fide employment which is generally indicated by the employer’s use of IRS forms W-2 or 1099. 

You further acknowledge, agree, and understand that you are solely responsible for assessing whether to enter into any arrangement or contract with another User and for verifying any information about another User. We may provide links to third-party vendors to conduct assessments of job candidates, however we do not make any representations about the truth or accuracy of such assessments. We do not provide assessments and do not make any guarantees regarding the nature of any third-party vendor assessment. By completing an assessment or viewing a Candidate’s assessment, You agree that you do so at your own risk. The 911 Recruiter does not make any representations about or guarantee the truth or accuracy of any Candidate or Employer listings or other User Contribution on the Site; does not verify any feedback or information provided by Users about Candidates or Employers; and does not vet or otherwise perform background checks on Candidates or Employers. You acknowledge, agree, and understand that The 911 Recruiter does not, in any way, supervise, direct, control, or evaluate Candidates or their work and is not responsible for any work product. The 911 Recruiter makes no representations about and does not guarantee, and you agree not to hold The 911 Recruiter responsible for, the quality, safety, or legality of Candidate services; the qualifications, background, or identities of Users; the ability of Candidates to perform job duties; the ability of Employers to pay for work performed by Candidate; statements or posts made by Users; or the ability or willingness of a Candidate or Employer to actually complete a transaction.

You also acknowledge, agree, and understand that Candidates are solely responsible for determining, and have the sole right to determine, which jobs to accept; the time, place, manner, and means of providing any work; the type of services they provide; and the price they charge for their services or how that pricing is determined or set. You further acknowledge, agree, and understand that: (i) you are not an employee of The 911 Recruiter, and you are not eligible for any of the rights or benefits of employment (including unemployment and/or workers compensation insurance); (ii) The 911 Recruiter will not have any liability or obligations under or related to employment for any acts or omissions by you or other Users; (iii) The 911 Recruiter does not, in any way, supervise, direct, or control any Candidate; does not impose quality standards or a deadline for completion of any Candidate work; and does not dictate the performance, methods or process Candidates uses to perform services; (iv) Candidate is free to determine when and if to perform.

Candidate Services, including the days worked and time periods of work, and The 911 Recruiter does not set or have any control over Candidate’s pricing, work hours, work schedules, or work location, nor is The 911 Recruiter involved in any other way in determining the nature and amount of any compensation that may be charged by or paid to Candidate for work engagement; (v) Candidate will be paid at such times and amounts as agreed with an Employer in a given employment engagement, and The 911 Recruiter does not, in any way, provide or guarantee Candidate a regular salary or any minimum, regular payment; The 911 Recruiter does not provide Candidates with training or any equipment, labor, tools, or materials related to any job; and (vii) The 911 Recruiter does not provide the premises at which Candidates will perform the work. Candidates are free to use subcontractors or employees to perform job duties and may agree with their Employers to have alternate arrangements regarding the ways in which they will complete their work. If a Candidate uses subcontractors or employees, Candidate further agrees and acknowledges that this paragraph applies to The 911 Recruiter’s relationship, if any, with Candidate’s subcontractors and employees as well and Candidate is solely responsible for Candidate’s subcontractors and employees.

TERMINATION:

We may suspend or terminate your Account or ability to access or use the Services at any time, for any or no reason, including for violations of these Terms, at our sole discretion, and without notice or liability of any kind.

You may terminate these Terms at any time and for any reason by deleting your Account, through the Site on your user dashboard, and discontinuing your use of all Services. You acknowledge and agree that even if you discontinue your Account, we may continue to display any content you have provided on the Website.

INTELLECTUAL PROPERTY RIGHTS:

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by The 911 Recruiter, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms of Service permit you to use the Website for your personal, non-commercial use only. You must not access or use for any commercial purposes any part of the Website or any Services or materials available through the Website. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website except as permitted by this Terms of Service.

The 911 Recruiter name, logo, trademarks and all related names, logos, product and service names, designs, and slogans are trademarks of The 911 Recruiter or its affiliates or licensors. You must not use such marks without the prior written permission of The 911 Recruiter. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

PAYMENT:

EMPLOYERS:
Employers and agencies who post a job application will be required to pay The 911 Recruiter the following non-refundable fees:
One-Time Service Charges: Not to exceed $299.00 for the initial setup of the account.

Service Charges are fees paid once, upon posting a job application, to provide customized applications created for the specific role.

Monthly Recurring Hosting Fees: Not to exceed $120.00

Employers will also be required to pay monthly fees, charged automatically to the Payment Method on file, once on the first of every month or as an annual subscription. Monthly Recurring Hosting Fees help The 911 Recruiter to host the Website and provide and improve our Services. Employers who wish to terminate their monthly subscription may do so by accessing their Payment Options in the Account settings portion of the website. Please note that Employers who terminate the Monthly Recurring Hosting Fee will not be able to post new job applications or interact with new job applicants on the Website. Employers may still browse the Website for potential Candidates and interact with Candidates that they have a pre-existing relationship with, such as Candidates who have applied to their job application before the effective date of the monthly subscription termination.

Termination of a monthly subscription will be effective on the first of the following month after the cancellation submission. For example, if an Employer terminates the monthly subscription on the 15th of August, the termination will be effective, and the Employer will not be charged a Monthly Recurring Hosting Fee, beginning on the 1st of September. Similarly, the Employer will have access to the full functionality of the Website until the 1st of September, after which, the Employer will no longer be able to post new job applications or interact with new job applicants.

Employers who wish to re-subscribe may do so by accessing the same settings in their Account. Please note that the subscription will be effective at the moment of renewal and will extend until the 1st of the following month. For example, if an Employer re-subscribes by paying the Monthly Recurring Hosting Fee on the 15th of September, the Employer may access the full features of the Website and post new job applications on the 15th, and must pay the following Monthly Recurring Hosting Fee on the 1st of August. We do not offer pro-rated fees or any type of extensions for Monthly Recurring Hosting Fees. 

CANDIDATES:

We do not charge Candidates fees for registration and general browsing on the Website. Candidates who apply for a job application on the Website, however, may be charged the following non-refundable fees to the Payment Method on file upon submitting a job application:

Job Application Processing Fee: Not to exceed $0.00
VOLUNTEERS:

We do not charge Volunteers any fees to use our Services, including any fees for searching for volunteer positions or submitting applications for volunteer positions.

PAYMENT METHODS:

We may offer certain Services or premium features to users on the Website for a fee. In order to use these features, users must provide account information for at least one valid Payment Method.

You hereby authorizes The 911 Recruiter, as applicable, to run credit card authorizations on all credit cards provided by you and to charge your credit card (or any other Payment Method) for applicable fees, including taxes and service charges, and any other amounts owed under the Terms of Service. To the extent permitted by applicable law and subject to our Privacy Policy, you acknowledge and agree that we may use certain third-party vendors and service providers to process payments and manage your Payment Method information.

By providing Payment Method information through the Site and authorizing payments with the Payment Method, You represent, warrant, and covenant that: (a) You are legally authorized to provide such information; (b) You are legally authorized to make payments using the Payment Method(s); (c) if You are an employee or agent of a company or person that owns the Payment Method, that User is authorized by the company or person to use the Payment Method to make payments on 911 Recruiter; and (d) such actions do not violate the terms and conditions applicable to User’s use of such Payment Method(s) or applicable law. When a User authorizes a payment using a Payment Method via the Site, User represents and warrants that there are sufficient funds or credit available to complete the payment using the designated Payment Method.

Because the use of any Payment Method may be limited by applicable law or by written agreement with your financial institution, The 911 Recruiter is not liable to any User if The 911 Recruiter does not complete a transaction as a result of any such limit, or if a financial institution fails to honor any credit or debit to or from an account associated with such Payment Method. The 911 Recruiter will make commercially reasonable efforts to work with any such affected Users to resolve such transactions in a manner consistent with these Terms.

THIRD-PARTY CONTENT, ADVERTISEMENTS AND PROMOTIONS:

The Site or Services may contain links to third-party websites, products, or services, which may be posted by advertisers, our affiliates, our partners, or other users (“Third-Party Content”). Third-Party Content is not under our control, and we are not responsible for any of their websites, products, or services. Your use of Third-Party Content is at your own risk and you should make any investigation you feel necessary before proceeding with any transaction in connection with such Third-Party Content.

The Services may also contain sponsored Third-Party Content or advertisements. The type, degree, and targeting of advertisements are subject to change, and you acknowledge and agree that we may place advertisements in connection with the display of any content or information on the Services, including your User Contributions.

WARRANTY DISCLAIMER:

YOU AGREE NOT TO RELY ON THE SITE, THE SITE SERVICES, ANY INFORMATION ON THE SITE OR THE CONTINUATION OF THE SITE. THE SITE AND THE SITE SERVICES ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS. THE 911 RECRUITER PROVIDES THE WEBSITE AND SERVICES SOLELY FOR INFORMATIONAL PURPOSES. THE 911 RECRUITER DOES NOT GUARANTEE THE SERVICES WILL MEET EMPLOYMENT EXPECTATIONS OR THAT THE SERVICES WILL RESULT IN HIRING OF QUALIFIED CANDIDATES. THE 911 RECRUITER MAKES NO REPRESENTATIONS OR WARRANTIES WITH REGARD TO THE SITE, THE SITE SERVICES, USER CONTRIBUTIONS, OR ANY ACTIVITIES OR ITEMS RELATED TO THIS TERMS OF SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE 911 RECRUITER DISCLAIMS ALL EXPRESS AND IMPLIED CONDITIONS, REPRESENTATIONS, AND WARRANTIES INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY, ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW FOR ALL OF THE FOREGOING LIMITATIONS ON WARRANTIES, SO TO THAT EXTENT, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. YOUR SOLE AND EXCLUSIVE RIGHT AND REMEDY IN CASE OF DISSATISFACTION WITH THE SITE OR ANY OTHER GRIEVANCE SHALL BE YOUR TERMINATION OF YOUR ACCOUNT AND DISCONTINUATION OF ACCESS TO, OR USE OF THE SITE.

LIMITATION OF LIABILITY:

THE 911 Recruiter is not liable, and you agree not to hold us responsible, for any damages or losses arising out of or in connection with the Terms of Service, including, but not limited to:

Your use of or your inability to use our Site or Site Services;

Delays or disruptions in our Site or Site Services;

Viruses or other malicious software obtained by accessing, or linking to, our Site or Site Services;

Glitches, bugs, errors, or inaccuracies of any kind in our Site or Site Services;

Damage to your hardware device from the use of the Site or Site Services;

The content, actions, or inactions of third parties’ use of the Site or Site Services;

A suspension or other action taken with respect to your Account;

Your reliance on the quality, accuracy, or reliability of User Contributions, User profiles, ratings, job postings, and;

Your need to modify practices, content, or behavior or your loss of or inability to do business, as a result of changes to the Terms of Service.

ADDITIONALLY, IN NO EVENT WILL THE 911 RECRUITER, OUR AFFILIATES, OUR LICENSORS, OR OUR THIRD-PARTY SERVICE PROVIDERS BE LIABLE FOR ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR INDIRECT COSTS OR DAMAGES, INCLUDING, BUT NOT LIMITED TO, LITIGATION COSTS, INSTALLATION AND REMOVAL COSTS, OR LOSS OF DATA, PRODUCTION, PROFIT, OR BUSINESS OPPORTUNITIES. THE LIABILITY OF THE 911 RECRUITER, OUR AFFILIATES, OUR LICENSORS, AND OUR THIRD-PARTY SERVICE PROVIDERS TO ANY USER FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THIS TERMS OF SERVICE WILL NOT EXCEED: $500; THESE LIMITATIONS WILL APPLY TO ANY LIABILITY, ARISING FROM ANY CAUSE OF ACTION WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH THIS TERMS OF SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH COSTS OR DAMAGES AND EVEN IF THE LIMITED REMEDIES PROVIDED HEREIN FAIL OF THEIR ESSENTIAL PURPOSE. SOME STATES AND JURISDICTIONS DO NOT ALLOW FOR ALL OF THE FOREGOING EXCLUSIONS AND LIMITATIONS, SO TO THAT EXTENT, SOME OR ALL OF THESE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.
YOU AGREE THAT ANY CAUSE OF ACTION THAT YOU MAY HAVE ARISING OUT OF OR RELATED TO THE SITE OR SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

INDEMNIFICATION:

You agree to indemnify and hold THE 911 Recruiter, its parents, subsidiaries, affiliates, any related companies, suppliers, licensors and partners, and the officers, directors, employees, agents and representatives of each of them harmless, including costs, liabilities and legal fees, from any claim or demand made by any third party due to or arising out of (i) your access to or use of the Site, (ii) your violation of the Terms of Service, or (iii) the infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity. In states where the law does not recognize a cap on liability and/or indemnity obligations, you agree to hold harmless The 911 Recruiter and be fully responsible for any loss, liability and/or legal fees that arise from the violation of the Terms of Service herein.

CHOICE OF LAW:

These Terms of Service and any claim arising out of these Terms will be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania.

SURVIVAL:

After this Terms of Service terminates, the terms of this agreement that expressly or by their nature contemplate performance after termination or expiration will survive and continue in full force and effect. For example, the provisions protecting intellectual property, indemnification, payment of fees, and setting forth limitations of liability each, by their nature, contemplate performance or observance after this Terms of Service terminates. Without limiting any other provisions of the Terms of Service, the termination of these Terms for any reason will not release you from any obligations incurred prior to termination of the Terms or that thereafter may accrue in respect of any act or omission prior to such termination.

ASSIGNABILITY:

You may not assign the Terms of Service, or any of its rights or obligations hereunder, without The 911 Recruiter’s prior written consent in the form of a written instrument signed by a duly authorized representative of The 911 Recruiter. The 911 Recruiter may freely assign this Terms of Service without User’s consent. Any attempted assignment or transfer in violation of this subsection will be null and void. Subject to the foregoing restrictions, the Terms of Service are binding upon and will inure to the benefit of the successors, heirs, and permitted assigns of the parties.

WAIVER AND SEVERABILITY:

No waiver by The 911 Recruiter of any term or condition set out in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of The 911 Recruiter to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

If any provision of these Terms of Service is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.

ACCESS OF THE SITE OUTSIDE THE UNITED STATES:

The 911 Recruiter makes no representations that the Site is appropriate or available for use outside of the United States. Those who access or use the Site from other jurisdictions do so at their own risk and are entirely responsible for compliance with all applicable foreign, United States, state, and local laws and regulations, including, but not limited to, export and import regulations, including the Export Administration Regulations maintained by the United States Department of Commerce and the sanctions programs maintained by the Department of the Treasury Office of Foreign Assets Control. You must not directly or indirectly sell, export, re-export, transfer, divert, or otherwise dispose of any software or service to any end user without obtaining any and all required authorizations from the appropriate government authorities. You also warrant that you are not prohibited from receiving U.S. origin products, including services or software.

In order to access or use the Site or Site Services, you must and hereby represent that you are not: (a) a citizen or resident of a geographic area in which access to or use of the Site or Site Services is prohibited by applicable law, decree, regulation, treaty, or administrative act; (b) a citizen or resident of, or located in, a geographic area that is subject to U.S. or other sovereign country sanctions or embargoes; or (c) an individual, or an individual employed by or associated with an entity, identified on the U.S. Department of Commerce Denied Persons or Entity List, the U.S. Department of Treasury Specially Designated Nationals or Blocked Persons Lists, or the U.S. Department of State Debarred Parties List or otherwise ineligible to receive items subject to U.S. export control laws and regulations or other economic sanction rules of any sovereign nation. You agree that if your country of residence or other circumstances change such that the above representations are no longer accurate, that you will immediately cease using the Site and Site Services and your license to use the Site or Site Services will be immediately revoked.

CONSENT TO USE ELECTRONIC RECORDS:

In connection with the Terms of Service, you may be entitled to receive certain records from The 911 Recruiter or our Affiliates, such as contracts, notices, and communications, in writing. To facilitate your use of the Site and the Site Services, you give us permission to provide these records to you electronically instead of in paper form.

ENTIRE AGREEMENT:

This Terms of Service, constitute the sole and entire agreement between you and The 911 Recruiter regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, the extent they relate in any way to the subject matter hereof and thereof, including the Website and Services.
